1. ACCEPTANCE OF TERMS

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and ZipCard, a product of Brandora Studios (“Company”, “we”, “us”, or “our”). ZipCard is operated by Brandora Studios, a company registered in Singapore. By accessing, browsing, or using our website at https://zipcard.me and the ZipCard platform at https://app.zipcard.me, and all associated features and services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must not access or use our Services.

2. SERVICES

2.1 Description of Services
ZipCard provides a digital business card platform that allows users to create, manage, and share digital profile cards. Services are offered through annual subscription plans as described on our website or in your order confirmation (“Order”).

2.2 Modifications to Services
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. ELIGIBILITY

3.1 By using the Services, you represent and warrant that you are at least sixteen (16) years of age or have reached the age of majority in your jurisdiction, or have parental consent if required in your jurisdiction, and have the legal capacity to enter into these Terms.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 ZipCard does not permit direct self-registration. Accounts are created by ZipCard upon confirmation of a completed payment. You will receive an invitation link to join the platform after your account has been set up.

4.2 You agree to provide accurate, current, and complete information at the time of purchase and to notify us of any changes to your information.

4.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account by emailing us.

5. SUBSCRIPTIONS, FEES, AND PAYMENT

5.1 Subscription Plans
ZipCard offers the following annual subscription plans:

• Solo Plan: One (1) user, billed annually.
• Team Plan: Three (3) users included, with add-on users available, billed annually.
• Custom Plan: For teams of thirty (30) or more users, with tailored pricing agreed upon in writing.

By purchasing a subscription, you agree to pay all applicable fees as described on our website or in your Order confirmation.

5.2 Billing
All subscription plans are billed annually in advance. There are no monthly billing options unless otherwise agreed in writing.

5.3 Payment Methods
Payments are processed via Stripe (USD), PayPal (USD), or PayNow (SGD, Singapore only). All transactions are subject to the terms of the respective payment processor.

5.4 Add-On Users
Team Plan subscribers may purchase additional user seats as add-ons, billed at the applicable rate per user per year. Add-on pricing is displayed at the time of checkout.

5.5 Renewal and Cancellation
Subscription Services automatically renew annually unless you cancel prior to the renewal date. If you cancel before renewal, your subscription will remain active until the end of your current paid term. No partial refunds are issued for the remaining period unless otherwise required by law or as set out in our Refund Policy.

5.6 Refunds
All fees are non-refundable except as required by law or as expressly provided in our Refund Policy.

5.7 Changes to Fees
We reserve the right to change our fees at any time. We will provide at least thirty (30) days’ notice of any fee changes for active subscribers. Continued use of the Services after the fee change takes effect constitutes your acceptance of the new fees.

6. USER OBLIGATIONS

6.1 You agree to use the Services only for lawful purposes and in accordance with these Terms.

6.2 You are responsible for all content you upload, publish, or display on your ZipCard profile, including contact details, links, images, and any other materials.

6.3 You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to any materials you publish on your profile.

6.4 You agree not to impersonate any person or entity or misrepresent your affiliation with any person or entity on your profile.

7. INTELLECTUAL PROPERTY

7.1 Platform Ownership
ZipCard and all associated technology, branding, design, software, and content are owned by or licensed to Brandora Studios. Nothing in these Terms grants you any ownership rights in the platform or its underlying technology.

7.2 Your Content
You retain ownership of all content you upload to your ZipCard profile. By uploading content, you grant ZipCard a non-exclusive, royalty-free, worldwide license to store, display, and deliver your content solely for the purpose of providing the Services.

7.3 License Restrictions
Your subscription grants you a non-exclusive, non-transferable license to access and use the ZipCard platform for your personal or business use during your active subscription period. You may not resell, redistribute, sublicense, or otherwise transfer access to the platform.

8. VISITOR LEAD DATA

8.1 When visitors submit their contact details through your ZipCard profile, you act as the data controller for that visitor lead data. ZipCard stores this data on your behalf and makes it accessible to you through your account.

8.2 You are responsible for ensuring your collection and use of visitor lead data complies with all applicable data protection laws, including obtaining any necessary consents from visitors.

9. ACCEPTABLE USE

9.1 You agree not to use the Services for any unlawful purpose or in any way that could harm ZipCard, Brandora Studios, or any third party.

9.2 Prohibited activities include, but are not limited to:
(a) violating any applicable law or regulation;
(b) infringing the intellectual property or other rights of any person or entity;
(c) publishing false, misleading, or deceptive content on your profile;
(d) transmitting viruses, malicious code, or any harmful content through the platform;
(e) attempting to gain unauthorized access to the platform or any other user’s account;
(f) using the platform to send unsolicited communications or spam.

9.3 We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated these acceptable use provisions.

10. CONFIDENTIALITY

10.1 Each party agrees to maintain the confidentiality of all non-public information disclosed by the other party in connection with the Services and to use such information only for the purposes of performing its obligations under these Terms.

11. DATA PROTECTION

11.1 ZipCard will process any personal data provided by you in accordance with the Personal Data Protection Act 2012 (PDPA) of Singapore, the General Data Protection Regulation (GDPR) where applicable, and our Privacy Policy.

12. DISCLAIMERS

12.1 The Services are provided “as is” and “as available.” ZipCard and Brandora Studios disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

12.2 ZipCard does not warrant that the Services will be uninterrupted, error-free, or secure at all times. We will endeavor to provide reasonable advance notice of any planned maintenance or downtime.

13. LIMITATION OF LIABILITY

13.1 To the maximum extent permitted by law, in no event shall ZipCard, Brandora Studios, their affiliates, or their respective officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
(a) your use or inability to use the Services;
(b) any unauthorized access to or use of our servers and/or any personal information stored therein;
(c) any interruption or cessation of transmission to or from the Services.

13.2 In no event shall ZipCard’s or Brandora Studios’ total liability to you for all claims arising out of or relating to these Terms or the Services exceed the total amount paid by you to ZipCard in the twelve (12) months preceding the event giving rise to the claim.

14. INDEMNIFICATION

14.1 You agree to indemnify, defend, and hold harmless ZipCard, Brandora Studios, and their affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

15. TERMINATION

15.1 ZipCard may terminate or suspend your access to the Services at any time, with or without cause or notice, effective immediately.

15.2 You may terminate your account by emailing us. Termination does not entitle you to a refund of any prepaid subscription fees except as provided in our Refund Policy.

15.3 Upon termination, all rights and licenses granted to you under these Terms will immediately cease. Any content you have published on your profile will no longer be accessible to you or to visitors.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

16.2 Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore.

17. CHANGES TO TERMS

17.1 We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the “Last Updated” date above. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

18. MISCELLANEOUS

18.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.2 These Terms constitute the entire agreement between you and ZipCard regarding the Services and supersede all prior agreements relating to the same subject matter.

18.3 You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
